Welcome to VERDNITY! The terms “we”, “us” and “our” refer to VERDNITY. VERDNITY operates this store and website, including all related information, content, features, tools, products and services in order to provide you with a curated shopping experience (the “Services”). VERDNITY is powered by Shopify, which enables us to provide the Services to you.
These Terms of Service, together with any other policies referenced herein (the “Terms”), describe your rights and responsibilities when using the Services. By visiting, interacting with or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use or access our Services

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. All product descriptions, specifications, and prices are subject to change at any time without notice. We reserve the right to discontinue any product at any time and to limit quantities available to any person, household, or region.
SECTION 3 – ORDERS
When you place an order, you are making an offer to purchase. A contract between you and VERDNITY will only be formed once we send you an order confirmation email. We must receive and process your payment before your order can be accepted.
We reserve the right to decline or cancel an order if, for example, the item is out of stock, there are pricing or description errors, payment cannot be processed, or we reasonably suspect fraud or misuse. In such cases, we will notify you using the contact details provided at checkout and provide a full refund where payment has already been taken.
Please check your order carefully before submitting, as we may be unable to make changes after acceptance. This does not affect your statutory right to cancel within 14 days for online purchases (see our Refund Policy).
Our products are intended primarily for personal and household use. If you wish to place a bulk or business order, please contact us directly so we can assist you. We reserve the right to decline orders that appear to be placed for unauthorised resale.
SECTION 4 – PRICES AND BILLING
Prices, discounts and promotions are subject to change without notice. The price charged for a product or service will be the price in effect at the time the order is placed and will be set out in your order confirmation email.
Unless otherwise expressly stated, posted prices do not include shipping, handling, customs duties, import charges, or other taxes. Prices are inclusive of VAT where applicable. All prices are shown and charged in GBP (£) unless otherwise stated.
We may, from time to time, offer promotions that affect pricing. Such promotions are subject to separate terms, which will govern in the event of a conflict with these Terms.
You agree to provide current, complete, and accurate purchase, payment, and account information for all purchases made at our stores, and to promptly update this information as necessary. You represent and warrant that:
(i) the payment information you provide is true, correct, and complete;
(ii) you are duly authorized to use such payment method;
(iii) charges incurred by you will be honored by your payment provider; and
(iv) you will pay all charges incurred at the posted prices, including shipping and handling charges and applicable taxes.
Payment providers available may vary depending on your location. By using a third-party payment provider (e.g. PayPal, Klarna, credit card processors), you agree to be bound by their terms of service.
Orders may be cancelled if payment is not successfully processed.
SECTION 5 – SHIPPING AND DELIVERY
We aim to dispatch and deliver your order within the estimated timeframes provided at checkout, but all delivery times are estimates only and are not guaranteed.
We are not responsible for delays caused by shipping carriers, customs processing, or events outside our control. In accordance with UK consumer law, risk of loss passes to you only once the products are delivered to you.
We are required to deliver your order within 30 days of the date of purchase, unless a longer period is agreed with you. If we fail to deliver within this timeframe, you may be entitled to cancel your order and receive a full refund.
Shipping is available only to the countries listed at checkout. We do not deliver to PO Boxes or addresses that our carriers cannot service. Customers outside the UK are responsible for customs duties, import VAT, and other applicable charges.
SECTION 6 – INTELLECTUAL PROPERTY
Our Services, including but not limited to all trade names, brands, text, displays, images, graphics, product reviews, videos, and audio, as well as the overall design and arrangement, are owned by VERDNITY, its affiliates, or licensors and are protected by UK, EU, and international copyright, trademark, and other intellectual property laws.
You may use the Services for your personal, non-commercial purposes only. You may download or print a single copy of materials for personal use, provided that you do not alter or remove any copyright or proprietary notices. Any other use, including reproduction, modification, distribution, or commercial exploitation, requires our prior written consent.
Nothing in these Terms grants you any licence or rights under the intellectual property rights of VERDNITY, Shopify, or any third party, except as expressly stated. Unauthorized use may constitute an infringement of intellectual property rights. All rights not expressly granted are reserved by VERDNITY.

The VERDNITY name, logo, product and service names, designs, and slogans are our trade names and brand identifiers, whether registered or not. Shopify’s names, logos, product and service names, designs, and slogans are trademarks of Shopify. Other names, logos, and designs on the Services belong to their respective owners.
User Content:
By submitting reviews, comments, photos, or other content (“User Content”), you grant VERDNITY a limited, non-exclusive, royalty-free, worldwide licence to use and display such content solely in connection with operating our Services and promoting our products (for example, showing customer reviews on our website, social media, or marketing materials), in accordance with our Privacy Policy.
You retain ownership of your User Content, and we will not materially alter or use it out of context without your consent. If you wish to have your content removed, please contact us and we will take reasonable steps to do so.

You may be provided with access to tools or services offered by third parties as part of the Services. We do not monitor, control, or have any input into these tools.

VERDNITY is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our Store are made directly with VERDNITY. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and VERDNITY, including any injury, damage, or loss resulting from purchased products and services. You hereby expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with VERDNITY.

All personal information we collect through the Services is subject to our Privacy Policy, and certain information may also be subject to Shopify’s Privacy Policy, By using the Services, you acknowledge that you have read and understood these policies.

We reserve the right to suspend, disable, or terminate your account at any time, without notice, if we reasonably determine that you have violated these Terms. Termination does not affect any rights or obligations that have accrued prior to termination.

The following sections will continue to apply following any termination: Intellectual Property, Feedback, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Waiver, Entire Agreement, Assignment, Governing Law, Privacy Policy, and any other provisions that by their nature should survive termination.

To the fullest extent permitted by law, in no case shall VERDNITY, our partners, directors, officers, employees, affiliates, agents, contractors, service providers or licensors, or those of Shopify and its affiliates, be liable for any indirect, incidental, punitive, special, or consequential damages of any kind, including, without limitation, lost profits, lost revenue, lost savings, loss of data, or replacement costs, arising from your use of the Services or any products purchased through the Services, or for any other claim related in any way to your use of the Services or any products, including any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of the Services or any content (or product) made available via the Services, even if advised of their possibility.
Our total liability to you for any claim arising out of or relating to these Terms, the Services, or any products purchased through the Services shall in no event exceed the amount paid by you for the product giving rise to the claim.
Nothing in these Terms excludes or limits liability for:

(2) your violation of any applicable law or the rights of a third party; or

We will promptly notify you of any indemnifiable claim, provided that a delay in notification will not relieve you of your obligations under this Section unless you are materially prejudiced by such delay.

If you are a consumer resident in the European Union, you may also bring proceedings in your country of residence, as permitted by applicable consumer protection law.
